CostLayer provides a proxy layer for LLM API optimization. The service sits in front of existing LLM API calls and optimizes routing and cost without requiring SDK integration or prompt rewrites. During pilot phase, CostLayer generates Proof Packs that reconcile against your own LLM provider usage exports.

4. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COSTLAYER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. COSTLAYER EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

During pilot phase, CostLayer is provided on an experimental basis. Savings and cost optimizations are illustrative and depend on traffic patterns and optimization opportunities. Real savings are verified through Proof Packs reconciled against your own LLM provider exports.

7. Changes to Terms

CostLayer reserves the right to modify these terms at any time. Continued use of the service following the posting of revised terms means that you accept and agree to the changes.

8. Termination

Either party may terminate a pilot at any time. Upon termination, your access to the service will be discontinued, and your data will be handled according to our privacy policy and any agreement provisions regarding data retention.

9. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
